Terms of Use
YoYoBi beta · yoyobi.ai · YoYoBi Inc.
1. Who we are
These Terms of Use (“Terms”) govern your use of the YoYoBi website, chat service, prepaid credits, waitlist, and related features (the “Service”). The Service is provided by YoYoBi Inc., a Canadian company (“YoYoBi,” “we,” “us”). YoYoBi is an early research preview of an AI assistant trained from scratch by YoYoBi Inc. Custom assistants that users create inside YoYoBi are called “Nerds.”

2. Eligibility and accounts
You must be at least 18 years old to create an account, join the waitlist, buy credits, or use the Service. If you are under 18, do not use YoYoBi. You are responsible for your login details and for activity on your account. Please keep your password private.
3. Invite-only beta, “as is”
The Service is an invite-only beta and a research preview. Features may change, break, pause, or end without notice. We do not promise any particular uptime, speed, or result. The Service is provided as is and as available, with no warranty of any kind, to the fullest extent permitted by law. That includes implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where Ontario or Canadian law does not allow us to exclude them.
4. AI accuracy and no professional advice
YoYoBi generates predicted text. It can be wrong, incomplete, outdated, biased, or misleading. It may invent facts or misunderstand your question. It is not a doctor, lawyer, financial advisor, or other professional, and it does not provide medical, legal, or financial advice. Do not use it as the only basis for important decisions. You are responsible for how you use the outputs and for checking anything that matters.
5. Acceptable use
You agree not to use the Service to break the law, to harm other people, to attempt unauthorized access, to scrape the Service at scale, or to try to extract model weights or bypass safety limits in order to cause harm. You are responsible for the prompts you send and for any Nerd instructions you create.
6. Prepaid credits
YoYoBi credits are a closed-loop, prepaid balance that can be used only for YoYoBi services. They are not money, not a bank deposit, and not a stored-value instrument you can use elsewhere. They have no cash value, cannot be transferred, traded, or cashed out, and are non-refundable except where required by law, including rights you have under the Ontario Consumer Protection Act, 2002 (or other consumer-protection laws) that cannot be waived. Pack contents and prices may change. During the beta, unused credits do not expire unless we give notice. Buying credits does not guarantee that a particular model or feature will remain available.
7. Payments and Stripe as merchant of record
Payments for credit packs are processed by Stripe. With Stripe Managed Payments turned on, Stripe acts as the merchant of record, including collection and remittance of applicable GST/HST and other taxes as configured. YoYoBi does not store your full card number. Stripe’s terms and privacy notice also apply to the payment you make. Chargebacks and payment disputes are handled through Stripe’s process and applicable law.
8. Your content and our materials
You keep whatever rights you have in the prompts and other content you submit. You grant YoYoBi Inc. a license to host, process, and display that content as needed to operate the Service, keep it safe, and meet legal duties.
By default, you also allow us to use your chats (and optional thumbs-up or thumbs-down ratings) to improve YoYoBi, including for later training rounds. You can turn this off in Settings by choosing “Don’t use my chats to improve YoYoBi.” Opting out does not delete past chats from your account; it stops us from including them in the export used for retraining. The details are in the Privacy Policy (draft).
The YoYoBi name, website, software, and model remain the property of YoYoBi Inc. and its licensors.
9. Suspension and ending the Service
We may suspend or close an account, or stop offering the beta, if we believe these Terms were broken, if we need to protect the Service or other people, or if we wind down the preview. If the Service ends, unused credits are handled as described in section 6 and as required by law.
10. Limitation of liability
To the fullest extent permitted by the laws of Ontario and Canada, YoYoBi Inc. is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or replacement-service costs, arising from the Service or these Terms. This does not exclude or limit liability that Ontario or Canadian law does not allow us to exclude, including liability for fraud or for certain consumer rights that cannot be waived.
11. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in Ontario, without regard to conflict-of-law rules. Courts in Ontario have jurisdiction, without limiting any non-waivable right you may have to bring a consumer claim in another Canadian forum that the law gives you.
12. Changes
We may update these Terms as the beta changes. We will post the updated draft on this page with a new date. If a change is material, we will try to give reasonable notice through the site. Continued use after an update means you accept the revised Terms, except where the law says otherwise.
